1. OVERVIEW

Welcome to Parson (“Parson,” “Company,” “we,” “us,” or “our”). Parson operates this website and online store (the “Site”), including all related content, features, products, and services (collectively, the “Services”).

Parson is headquartered in Atlanta, Georgia and powered by Shopify.

By accessing or using the Services, you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy [LINK]. If you do not agree, you may not access or use the Services.

2. ELIGIBILITY

You must be at least 18 years old (or the age of majority in your state of residence) to use the Services.

By using the Services, you represent and warrant that:

3. PRODUCTS – APPAREL DISCLAIMER

Parson primarily sells apparel products.

You acknowledge and agree:

  • Colors may vary depending on screen/device settings.

  • Fit may vary by body type and sizing preference.

  • Minor variations in stitching, dye, texture, or finish may occur.

  • Shrinkage may occur depending on fabric and washing method.

  • Normal wear and tear is not a defect.

  • Products are not flame-resistant, protective, or safety-rated unless explicitly stated.

All product descriptions and pricing are subject to change without notice.

4. ORDERS & ACCEPTANCE

Placing an order constitutes an offer to purchase. Orders are not accepted until confirmed by Parson.

We reserve the right to:

  • Refuse or cancel any order

  • Limit quantities

  • Cancel suspected fraudulent transactions

You represent that purchases are for personal use only and not for resale.

5. EXCHANGES ONLY POLICY

All purchases are subject to our Exchange Policy [LINK].

Parson does not offer refunds unless required by law. We offer exchanges only, subject to the terms of our Exchange Policy.

We reserve the right to refuse exchanges that:

  • Show signs of wear

  • Are damaged after delivery

We reserve the right to pursue recovery of costs related to fraudulent chargebacks.

7. SHIPPING; TITLE; RISK OF LOSS

All shipping times are estimates and not guaranteed.

Once products are transferred to the shipping carrier:

  • Title passes to you.

  • Risk of loss passes to you.

We are not liable for delays caused by carriers, customs, weather, or events beyond our control.

8. ELECTRONIC COMMUNICATIONS & SMS

By providing your email or phone number, you consent to receive electronic communications from Parson, including:

9. USER-GENERATED CONTENT & SOCIAL MEDIA

If you tag Parson, use our branded hashtags, or otherwise submit photos, videos, reviews, or other content (“UGC”), you grant Parson a perpetual, worldwide, royalty-free, transferable license to use, reproduce, modify, publish, distribute, and display such content for marketing and commercial purposes.

You represent that:

  • You own the content or have permission to grant rights.

  • The content does not infringe third-party rights.

10. INTELLECTUAL PROPERTY

All content on the Site — including trademarks, designs, logos, graphics, text, images, and product designs — is owned by Parson or its licensors and protected by U.S. intellectual property laws.

You may not reproduce, modify, distribute, or exploit any content without written permission.

11. PROHIBITED USES

You may not:

  • Use the Services unlawfully

  • Engage in fraud or chargeback abuse

  • Scrape or data-mine the Site

  • Interfere with security features

  • Resell products without authorization

We may suspend or terminate accounts at our discretion.

12. FORCE MAJEURE

Parson shall not be liable for failure or delay in performance caused by events beyond our reasonable control, including but not limited to:

  • Natural disasters

  • Acts of God

  • Government actions

  • Labor disputes

  • Supply chain disruptions

  • Carrier delays

  • Pandemics

13. DISCLAIMER OF WARRANTIES

THE SERVICES AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARSON DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • MERCHANTABILITY

  • FITNESS FOR A PARTICULAR PURPOSE

  • NON-INFRINGEMENT

Some states do not allow certain limitations; in such states, limitations apply to the fullest extent permitted by law.

14. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW:

PARSON’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO ANY PRODUCT OR SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE PRODUCT GIVING RISE TO THE CLAIM.

IN NO EVENT SHALL PARSON BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

15. INDEMNIFICATION

You agree to indemnify and hold harmless Parson and its affiliates from any claims arising out of:

  • Your breach of these Terms

  • Your misuse of the Services

  • Your violation of any law

16. BINDING ARBITRATION & CLASS ACTION WAIVER

PLEASE READ CAREFULLY.

Mandatory Arbitration

Any dispute arising out of or relating to these Terms or your purchase shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

Arbitration shall take place in Fulton County, Georgia.

Class Action Waiver

You agree that disputes shall be resolved on an individual basis only. You waive any right to participate in:

  • Class actions

  • Collective actions

  • Consolidated proceedings

Jury Trial Waiver

You waive any right to a jury trial.

Small Claims Exception

Either party may bring qualifying claims in small claims court in Fulton County, Georgia.

17. GOVERNING LAW

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles.

Subject to the arbitration provision above, any permitted court action shall be brought exclusively in the state or federal courts located in Fulton County, Georgia.

18. SEVERABILITY

If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.

19. CHANGES TO TERMS

We may update these Terms at any time. Continued use of the Services after changes constitutes acceptance of the revised Terms.
